Terms of Service
Document ID: TERMS-v1
Version: 1.0, effective September 22, 2026
Provider: Front Of House LLC, a Georgia limited liability company ("Front of House", "we", "us")
These Terms of Service ("Terms") apply to every service that Front of House gives to a business client ("you"). They apply with an Order Form and a Statement of Work (SOW).
1. The agreement
1.1 Documents. The agreement between you and us has three parts: the Order Form that you sign, each SOW that the Order Form names, and these Terms.
1.2 Priority. If two documents do not agree, the Order Form has priority. The SOW is second. These Terms are third.
1.3 Business use. Our services are for businesses. You confirm that you sign for a business, and that you have the authority to sign for it.
1.4 Versions. The Order Form names the version of these Terms and of each SOW. That version applies until the end of your current term. We can publish a new version. A new version applies at your next renewal. We tell you about a new version at least 30 days before your renewal.
2. Our services
2.1 Scope. We give the services that the Order Form and the SOW describe. Other work needs a new Order Form or a written quote that you approve.
2.2 Standard of work. We do our work with reasonable skill and care. We use qualified people and reliable tools.
2.3 Providers. We use third-party providers to give our services. The SOW lists them. We are responsible for the work that our providers do for us.
2.4 AI tools. We use AI tools to draft changes and to answer questions. A person on our team reviews each change before it goes live on your site. Our AI provider's commercial terms do not let it train its models on the data that we send.
3. Your responsibilities
3.1 Content. You are responsible for the content that you give us or approve. This includes menus, prices, allergen data, nutrition data, hours, photos, logos, and legal notices.
3.2 Rights. You confirm that you have the rights to use the content that you give us. You give us permission to copy, change, host, and show that content to give our services.
3.3 Approvals. You review each preview before you approve it. After you approve a change, the change is your content.
3.4 Accounts. You keep your portal login private. You tell us at once if you think that someone else uses your account.
3.5 Domain. You own and control your domain registration. You keep it active and paid.
3.6 Lawful use. You do not use our services for content or activity that is illegal, that infringes the rights of others, or that is harmful.
4. Fees and payment
4.1 Fees. You pay the fees on the Order Form. Fees are in US dollars.
4.2 Payment method. We collect payments through Stripe by card or ACH bank transfer. You authorize us to charge your payment method on file for each fee when it is due, including each renewal.
4.3 Annual billing. We charge the annual fee in advance on the start date and on each renewal date.
4.4 Monthly billing. We charge the monthly fee in advance on the same day each month. The monthly option has a minimum term of 3 months.
4.5 Failed payments. If a payment fails, we tell you by email. Stripe tries the payment again. If a fee is more than 15 days late, we can pause changes and support until you pay. If a fee is more than 30 days late, we can end the services with 10 days' written notice.
4.6 Your site stays yours. A late fee does not stop the Exit Kit. If we end the services because you did not pay, we give you the Exit Kit before we stop hosting your site.
4.7 Price changes. We can change the price of a plan at your next renewal. We tell you at least 60 days before the renewal date.
4.8 Taxes. Our fees do not include taxes. You pay the sales, use, or similar taxes that apply to our services, other than taxes on our income.
4.9 Refunds. Fees are not refundable, except as Section 8.4 says.
5. Term, renewal, and cancellation
5.1 Start. Services start on the start date on the Order Form.
5.2 Annual term. An annual plan lasts 12 months. It renews automatically for another 12 months, unless one party cancels. We send a renewal reminder by email at least 30 days before each renewal date.
5.3 Monthly term. A monthly plan has a minimum term of 3 months. After the minimum term, it continues month to month.
5.4 Cancellation. Either party can cancel with at least 30 days' written notice. Email is written notice.
- An annual plan ends at the end of the current 12-month term.
- A monthly plan ends at the end of the first billing month that ends at least 30 days after the notice. If you cancel before the minimum term is complete, you pay the remaining months of the minimum term.
5.5 Change of billing option. You can move from monthly to annual billing at any time. You can move from annual to monthly billing at your next renewal.
6. Ownership
6.1 Your site. After you pay the build fee in full, you own the custom code, design, and content that we make for your site. Changes that we make during Care are also yours.
6.2 Our tools. We keep ownership of our own tools, platforms, portal, AI systems, templates, methods, and know-how. Some of our general components can be part of your site code. We give you a permanent, free, worldwide license to use, change, and host those components as part of your site. You can give the same license to a developer or host that works on your site.
6.3 Open-source software. Your site uses open-source software. The license of each open-source package applies to that package.
6.4 Your content. You keep ownership of your content, trademarks, and brand.
6.5 Portfolio. We can show your site and your restaurant name in our portfolio and sales materials. You can tell us to stop at any time by email.
7. Data and privacy
7.1 Our role. We process data from your site and your visitors only to give our services to you. We do not sell your data or your visitors' data.
7.2 Security. We use reasonable technical and organizational measures to protect data. The SOW gives details.
7.3 Security incidents. If we confirm that someone got access to your data without permission, we tell you within 72 hours after we confirm it. We tell you what happened and what we do about it.
7.4 Your site's privacy notice. You are responsible for the privacy notice on your site and for how your business uses visitor data. We can help you with a standard notice.
7.5 After the services end. We delete your data as the SOW says.
8. Ending the agreement
8.1 Cancellation. Either party can cancel under Section 5.4.
8.2 Breach. Either party can end the agreement if the other party fails to perform a material obligation and does not fix it within 30 days after written notice.
8.3 Exit Kit. When the services end for any reason, we give you the Exit Kit as the SOW says.
8.4 Refund. If we end the agreement without cause before the end of a paid annual term, or if you end it because of our breach, we refund the fees for the unused full months.
8.5 Survival. Sections 4 (for fees that are due), 6, 7, 9, 10, 11, and 12 continue after the agreement ends.
9. Warranties and disclaimers
9.1 Our promise. We give our services with reasonable skill and care, as Section 2.2 says.
9.2 Search results. We do not guarantee a position in search results, in maps, or in AI answers. Other companies control those results.
9.3 Other providers. We are not responsible for outages or changes at providers that we do not control, such as your registrar, your email provider, or a wide outage at an internet provider.
9.4 Disclaimer. Other than the promises in these Terms and the SOW, we give the services "as is". To the extent the law permits, we make no other warranties, express or implied. This includes warranties of merchantability and fitness for a particular purpose.
10. Limitation of liability
10.1 Cap. Each party's total liability under this agreement is limited to the fees that you paid us in the 12 months before the event that caused the claim.
10.2 Indirect loss. Neither party is liable for indirect, special, or consequential loss, or for lost profits, lost revenue, or lost data, even if the party knew that the loss was possible.
10.3 Exceptions. Sections 10.1 and 10.2 do not limit your duty to pay fees. They do not limit liability for fraud, willful misconduct, or obligations under Section 11.
11. Indemnity
11.1 From you. You defend us against third-party claims that come from your content, or from your breach of Section 3.6. You pay the damages and reasonable costs that a court awards, or that you agree to in a settlement.
11.2 From us. We defend you against third-party claims that the code we wrote for your site infringes a US copyright. We pay the damages and reasonable costs that a court awards, or that we agree to in a settlement. This does not apply to your content, to open-source software, or to changes that someone other than us makes.
11.3 Process. The party that asks for defense tells the other party quickly, gives reasonable help, and lets the other party control the defense.
12. General terms
12.1 Governing law. The laws of the State of Georgia, USA, govern this agreement. The rules about conflict of laws do not apply.
12.2 Courts. Each party agrees that the state and federal courts in Georgia can hear any dispute under this agreement. Before either party goes to court, the parties try to solve the dispute by good-faith discussion for at least 30 days.
12.3 Notices. Notices must be in writing. Email is written notice. We send notices to the email address on the Order Form. You send notices to drew@fohrestaurants.com.
12.4 Electronic signatures. Each party can sign the Order Form in person or by electronic signature. An electronic signature has the same effect as a written signature. A signed copy in PDF form is an original.
12.5 Confidential information. Each party keeps the other party's non-public business information confidential. Each party uses it only for this agreement. This duty continues for 3 years after the agreement ends.
12.6 Force majeure. Neither party is liable for a delay that events outside its reasonable control cause. Examples are natural disasters, power failures, wide internet outages, and government actions. This section does not apply to your duty to pay fees.
12.7 Independent parties. Each party is an independent business. This agreement does not make a partnership, a joint venture, or an employment relationship.
12.8 Assignment. Neither party can transfer this agreement without the other party's written consent. Either party can transfer it without consent to a company that buys all or most of its business. The party must tell the other party.
12.9 Severability. If a court finds that a part of this agreement cannot be enforced, the rest of the agreement stays in effect.
12.10 No waiver. If a party does not enforce a right, the party does not lose that right.
12.11 Entire agreement. This agreement is the full agreement about its subject. It replaces earlier proposals and discussions about the same subject. A change to this agreement must be in writing and signed by both parties, except as Section 1.4 says.
